Agreement Overview

By engaging Amzsoft Innovexa for services, you agree to these Terms of Service. These terms govern our professional relationship and ensure clear expectations for both parties.

Amzsoft Innovexa provides comprehensive technology solutions including:

Project Process

Project Acceptance

All projects are subject to our acceptance based on scope, timeline, and resource availability. We reserve the right to decline projects that don't align with our expertise or values.

Project Documentation

Each project includes:

• Detailed project scope and requirements
• Timeline with key milestones
• Pricing structure and payment schedule
• Deliverables and acceptance criteria
• Communication protocols and review processes

Payment Terms

Pricing & Invoicing

• All prices quoted in INR (Indian Rupees) unless specified otherwise
• Fixed-price projects typically require 50% upfront, 50% on completion
• Ongoing projects invoiced monthly or at agreed milestones
• Payment due within 15 days of invoice date
• Late payments may incur 2% monthly service charge

Scope Changes

Changes to project scope will be documented and may affect timeline and cost. Additional work requires written approval before proceeding.

Intellectual Property

Your Ownership Rights

Upon full payment, you own:

• Custom code developed specifically for your project
• Original designs and creative assets
• Project documentation and specifications
• All content and data you provided

Our Retained Rights

We retain rights to:

• General methodologies and development approaches
• Reusable code libraries and frameworks we've developed
• Tools and utilities created for internal use
• Knowledge and experience gained from the project

Third-Party Components

Projects may include open-source libraries and third-party services subject to their respective licenses. You're responsible for ongoing compliance with these licenses.

Client Responsibilities

For successful project completion, you agree to:

• Clear Requirements: Provide detailed, accurate project specifications
• Timely Feedback: Review deliverables and provide feedback within agreed timeframes
• Access & Resources: Provide necessary system access, accounts, and materials
• Decision Making: Designate authorized decision-makers for project approvals
• Payment: Make payments according to agreed schedule
• Legal Compliance: Ensure all content and requirements comply with applicable laws

Support & Maintenance

Post-launch support includes bug fixes for 30 days after delivery. Extended support and maintenance services are available through separate agreements covering:

• Regular updates and security patches
• Performance monitoring and optimization
• Feature enhancements and modifications
• Technical support and troubleshooting

Confidentiality & Privacy

We maintain strict confidentiality of your business information, trade secrets, and proprietary data. We will not disclose confidential information to third parties without your written consent, except as required by law.

Limitation of Liability

Our liability is limited to the total amount paid for the specific services. We are not liable for indirect, incidental, or consequential damages including loss of profits, data, or business opportunities.

Warranties

We warrant that our services will:

• Be performed with professional skill and care
• Substantially conform to agreed specifications
• Be free from material defects for 30 days after delivery

Termination

Either party may terminate services with 15 days written notice. Upon termination:

• Payment is due for all completed work
• We'll deliver all completed deliverables
• Both parties will return confidential information
• Licenses and access will be revoked as appropriate

Governing Law

These terms are governed by the laws of India. Any disputes will be resolved through arbitration in Bangalore, India, in accordance with Indian Arbitration and Conciliation Act.
